Terms of Service

1. Who these terms are with

These terms form an agreement between you (the “Merchant”, the Shopify store owner installing the app) and Katja Ožbolt s.p., a sole proprietorship registered in Slovenia and trading as Borema Digital (“we”, “us”, “our”).

By installing an app published by Borema Digital on the Shopify App Store, you accept these terms. If you do not accept them, uninstall the app.

2. What our apps do

Each Borema Digital app extends the functionality of a Shopify store in a specific, documented way. App descriptions on the Shopify App Store and on this site explain what each app does and what permissions it requires.

Our apps run on top of Shopify’s platform. They depend on Shopify APIs continuing to work as documented. If Shopify changes or removes a feature our app relies on, we may need to update or discontinue the affected functionality.

3. Account, installation, and access

To use a Borema Digital app you need an active Shopify account and, for some apps, a Shopify Plus plan. App installation grants us the OAuth scopes the app requests. We use those scopes only to provide the app’s documented functionality.

You are responsible for maintaining the security of your Shopify account and the devices you use to access our app dashboard.

4. Subscription and billing

Apps are billed through Shopify’s billing system. Pricing, free trial length, and billing frequency are shown on each app’s App Store listing and on its plan selection screen. Charges appear on your standard Shopify invoice.

Where a free trial is offered, you will not be charged during the trial. Once the trial ends, the recurring charge begins automatically unless you uninstall the app first.

We may change pricing for new installations at any time. For existing subscriptions, we will give at least 30 days’ notice before any price increase, sent through Shopify’s standard subscription update mechanism.

5. Refunds

Subscription fees are generally non-refundable. If you uninstall mid-cycle you will not be re-charged at the next renewal, but no pro-rated refund is given for the partial period.

If you experience a clear app-side bug that prevents normal use and we cannot resolve it within a reasonable time, contact support and we will work with you on a refund for the affected period.

6. Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of our apps beyond what is permitted by applicable law.
• Use our apps to violate Shopify’s Terms of Service or Acceptable Use Policy.
• Use our apps for fraud, money laundering, or any unlawful purpose.
• Resell, sublicense, or redistribute the apps to other parties as your own product.
• Attempt to circumvent billing or access controls.
• Use automated systems to overload our infrastructure.

We may suspend or remove access to our apps if we reasonably believe these terms are being violated.

7. Intellectual property

All software, source code, designs, trademarks, and documentation published by Borema Digital remain our intellectual property or that of our licensors. Installing an app grants you a limited, non-exclusive, non-transferable licence to use the app on your Shopify store for the duration of your subscription.

Your store data, products, customers, and orders remain yours. Our apps do not claim ownership of any merchant content.

8. Privacy

Our handling of personal data is described in the Privacy Policy. By using our apps you acknowledge the practices described there.

9. Service availability

We aim to keep our apps available continuously, but we do not guarantee uninterrupted service. Outages may occur due to maintenance, bugs, infrastructure failures at our subprocessors, or actions by Shopify. We are not liable for losses caused by such outages, except as required by mandatory law.

10. Warranties and limitation of liability

Our apps are provided “as is” and “as available”, without express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except as required by mandatory consumer protection law.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or related to these terms or use of our apps will not exceed the total fees you have paid us for the affected app in the 12 months preceding the event giving rise to the claim.

We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost orders, or loss of goodwill, except where such limitation is prohibited by law.

Nothing in these terms limits liability that cannot be limited under Slovenian or EU law.

11. Indemnification

You agree to indemnify and hold us harmless against third-party claims arising from (a) your misuse of our apps, (b) your violation of these terms, or (c) your violation of any applicable law in your operation of your Shopify store.

12. Termination

You may terminate this agreement at any time by uninstalling the app from your Shopify store. We may terminate or suspend your access if you breach these terms or use our apps in a way that threatens our infrastructure or other users.

On termination, sections 7, 8, 10, 11, and 13 survive.

13. Governing law and disputes

These terms are governed by the laws of the Republic of Slovenia, without regard to its conflict-of-laws principles. The courts of Ljubljana, Slovenia, have exclusive jurisdiction over any dispute, except where mandatory consumer protection law gives you the right to bring a claim in your country of residence.

14. Changes to these terms

We may update these terms from time to time. The current version is always available at boremadigital.com/terms with the “Last updated” date at the top.

For material changes, we will give installed merchants at least 30 days’ notice by email or in-app notification before the change takes effect. Continued use after the change takes effect constitutes acceptance of the updated terms.
